THIS PERFORMANCE INCENTIVE BONUS AGREEMENT (this “Agreement”), dated July 15, 2026 (the “Effective Date”), is by and between TEN Holdings, Inc. (the “Company”), and Virgilio Torres (“Executive”).

As previously disclosed in the Original Form 8-K, the Company’s board of directors (the “Board”) appointed Mr. Virgilio D. Torres (“Mr. Torres”), to serve as the new Chief Financial Officer of the Company, with effect from June 30, 2025.

As previously disclosed in the Original Form 8-K, Mr. John M. Orobono Jr. notified the Company of his resignation as the Secretary, Chief Financial Officer and a Director of the Company, effective May 9, 2025.
